Memorandum of Association

The constitutional document of a company defining its objects, capital and scope.

What is MoA?

MoA is the foundational document filed at incorporation. Contains: name clause, registered office clause, objects clause (what business the company can do), liability clause (limited / unlimited), capital clause (authorised capital), and association clause (subscribers). Once registered, can be amended only via shareholder special resolution + MGT-14 filing.

Who needs MoA?

Every Pvt Ltd, Public Ltd, OPC, Section 8 Company, Producer Company.
